Federal securities law ('33 Act, '34 Act, '40 Act) applies in Puerto Rico, administered by the SEC. Puerto Rico supplements with the Puerto Rico Uniform Securities Act (10 L.P.R.A. §§ 851 et seq.), administered by the Office of the Commissioner of Financial Institutions (OCFI). Puerto Rico had significant securities litigation following the 2013-2016 Puerto Rico bond defaults and subsequent PROMESA proceedings. Puerto Rico's Financial Oversight and Management Board (FOMB) continues to oversee restructuring.

Puerto Rico Uniform Securities Act10 L.P.R.A. §§ 851 et seq.

Governs registration of securities and of broker-dealers, investment advisers, and agents in Puerto Rico.

Anti-Fraud Provisions10 L.P.R.A. § 871

Prohibits schemes to defraud, material misstatements or omissions, and fraudulent or deceitful practices in connection with securities transactions.

PROMESA and FOMB48 U.S.C. §§ 2101 et seq. (PROMESA, 2016)

Federal Puerto Rico Oversight, Management, and Economic Stability Act established the Financial Oversight and Management Board with authority over PR government budgets and bond restructuring. PR bond restructuring proceedings continue to produce significant financial and securities litigation.

Civil Liability10 L.P.R.A. § 887

Buyers of securities sold in violation of the Act may sue for rescission or damages.
