Securities & Finance Laws in Texas.

Federal securities law ('33 Act, '34 Act, '40 Act) is administered by the SEC. Texas supplements with the Texas Securities Act (Tex. Gov't Code § 4001.001 et seq., recodified 2019), administered by the Texas State Securities Board. The Act governs registration of securities (where not federally preempted), broker-dealers, investment advisers, and agents, and provides state anti-fraud remedies. Texas is a major oil-and-gas securities venue given the state's energy industry. Texas recently reincorporated several public companies (Tesla, SpaceX) — increasing Texas's role in corporate-governance practice.

Texas Securities ActTex. Gov't Code § 4001.001 et seq.

Governs registration of securities and of broker-dealers, investment advisers, and agents. Recodified 2019 from former Texas Revised Civil Statutes Art. 581.

Anti-Fraud ProvisionTex. Gov't Code § 4008.051

Prohibits schemes to defraud, material misstatements or omissions, and fraudulent or deceitful practices in connection with securities transactions.

Civil LiabilityTex. Gov't Code § 4008.101 et seq.

Buyers of securities sold in violation of the Act may sue for rescission or damages. Subject to statute of limitations.
