Nebraska has adopted the Nebraska Model Business Corporation Act and the Nebraska Uniform Limited Liability Company Act. LLCs are the dominant entity. Nebraska has adopted the UCC. Nebraska noncompete enforceability is unusually strict — courts will not "blue-pencil" overbroad covenants, meaning an unreasonable covenant is void in its entirety. The Nebraska Secretary of State administers business filings. Nebraska hosts major headquarters including Berkshire Hathaway, Mutual of Omaha, Union Pacific, and TD Ameritrade.

Noncompete Enforceability — No Blue-PencilNebraska common law; Professional Business Services v. Rosno, 268 Neb. 299 (2004)

Nebraska courts enforce noncompete agreements only if reasonable as written. Overbroad covenants are void in their entirety — Nebraska courts will NOT modify or "blue-pencil" covenants to make them reasonable. This is one of the strictest positions in the country.

Based on the Uniform Trade Secrets Act. Provides civil remedies for misappropriation of trade secrets including injunctive relief and damages.
