Utah has adopted the Utah Revised Business Corporation Act and the Utah Revised Uniform Limited Liability Company Act. LLCs are the dominant entity. Utah has adopted the UCC. Utah permits noncompetes subject to reasonableness under the Post-Employment Restrictions Act (Utah Code § 34-51-101 et seq.) — enacted 2016, limiting noncompetes to 1 year. Utah operates a distinctive **regulatory sandbox for legal services** (2020) — the first in the U.S. permitting nonlawyer ownership of law firms.
