Nevada has adopted the Nevada Private Corporations Law (NRS Chapter 78) and the Nevada Limited-Liability Companies Act (NRS Chapter 86). Nevada offers strong management-friendly charter provisions, generous indemnification, and robust anti-takeover protections. Nevada has a Business Court in the Eighth Judicial District (Clark County) and Second Judicial District (Washoe County) for complex commercial cases. Nevada significantly reformed noncompetes in 2017 (AB 276) — requiring employer payment during restricted period to enforce against terminated employees.

Noncompetes are enforceable only if (1) supported by valuable consideration; (2) not imposing greater restraint than necessary to protect employer; (3) not imposing undue hardship on employee; and (4) reasonable in scope. Employers must pay wages during the restricted period to enforce against employees terminated for reasons other than misconduct.
Provides civil remedies for misappropriation of trade secrets, including injunctive relief, damages, unjust enrichment, and exemplary damages up to 2x for willful misappropriation.
